Terms of Service
The contract that governs your use of the BillBasket corporate portal, products, and services.
Acceptance
By creating an account, signing an Order Form, or using any BillBasket service, you agree to these Terms of Service ("Terms"). If you are entering into the Terms on behalf of an organisation, you represent that you have authority to bind it.
Definitions
- "Services" means the corporate portal, BillBasket.app, the Payment Solutions & Collection Platforms, our KYC/AML, credit-risk and banking-API products, and related professional services.
- "Customer Data" means data you or your users submit to the Services.
- "Order Form" means a written or electronic order describing plan, fees, and term.
Account & eligibility
You must be at least 18 years old and able to enter binding contracts. You are responsible for the accuracy of registration information and for all activity under your account. Notify us immediately if you suspect unauthorised use.
License grant
Subject to these Terms and timely payment of fees, BillBasket grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes. We reserve all rights not expressly granted.
Acceptable use
Your use of the Services is subject to the Acceptable Use Policy, which is incorporated by reference. Violations may result in suspension or termination.
Customer responsibilities
- Provide accurate KYC and business details and keep them current.
- Obtain all consents required from your end-users to process their data through the Services.
- Comply with all applicable laws — including RBI directions, GST, AML, and consumer-protection rules.
- Maintain the security of your credentials and access tokens.
Fees & billing
Fees, billing cycles, payment methods, GST, and refund handling are governed by the Payment & Billing Policy and the Refund & Cancellation Policy. Enterprise terms are set by the Order Form and the Enterprise Service Agreement.
Intellectual property
All rights, title, and interest in the Services, including the source code, designs, trademarks, and documentation, remain with BillBasket and its licensors. Customer Data remains yours. You grant us a limited license to host, process, and transmit Customer Data solely to deliver the Services.
Confidentiality
Each party will protect the other's confidential information with at least the same care it uses for its own and use it only as needed to perform under these Terms. Confidentiality survives termination for three years; trade secrets survive for as long as they remain trade secrets.
Suspension & termination
We may suspend or terminate access for material breach (including non-payment), suspected fraud, regulatory direction, or risk to the platform. Either party may terminate for convenience as described in your Order Form or the product's terms. On termination, outstanding fees remain payable and we will make Customer Data available for export under the Privacy Policy retention rules.
Warranties & disclaimers
We provide the Services with reasonable skill and care. Beyond what is expressly stated in these Terms, the Services are provided "as is" and we disclaim all implied warranties to the maximum extent allowed by law, including merchantability and fitness for a particular purpose.
Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data. BillBasket's aggregate liability arising from or related to the Services is capped at the fees you paid us for the affected Service in the 12 months preceding the event giving rise to the claim. Nothing in this section limits liability that cannot be limited under applicable law.
Indemnification
You will defend and indemnify BillBasket against third-party claims arising from your Customer Data, your breach of these Terms, or your violation of applicable law. BillBasket will defend you against third-party claims that the Services infringe Indian-registered IP, subject to the liability cap above.
Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control — including natural disasters, telecom outages, government action, pandemics, or labour disputes — provided the affected party takes reasonable steps to mitigate.
Governing law & disputes
These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the competent courts at Pune, Maharashtra. The parties will first attempt to resolve disputes in good faith for 30 days before initiating proceedings.
Notices
Notices to BillBasket must be sent to support@billbasket.in with a copy to the registered address. Notices to you will be sent to the email on your account.
Changes to these terms
We may amend these Terms by posting a revised version and notifying account owners by email. Material changes take effect 30 days after notice. Continued use after the effective date constitutes acceptance.
